1. Acceptance of Terms

By accessing or using QuoteBidBill ("the Service"), operated by Kos Holdings LLC ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

QuoteBidBill is a web-based platform that enables users to create, send, and manage proposals and invoices. The Service includes features such as digital signatures, payment processing, and document generation.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account.

4. Acceptable Use

You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any laws in your jurisdiction
  • Upload malicious code or attempt to compromise the Service
  • Impersonate another person or entity
  • Use the Service to send spam or unsolicited communications

5. Payments and Billing

Certain features require a paid subscription. By subscribing to a paid plan, you agree to pay the applicable fees. Payments are processed through Stripe and are subject to Stripe's terms of service. Subscription fees are billed in advance on a monthly basis and are non-refundable except as required by law.

6. Payment Processing

When you use the Service to collect payments from your clients, payments are processed through Stripe Connect. A platform fee of 2.5% is deducted from each transaction. You are responsible for complying with all applicable tax laws and regulations regarding payments you receive.

7. Electronic Signatures

The Service provides electronic signature functionality for proposal acceptance. By using this feature, you acknowledge that electronic signatures created through the Service are intended to be legally binding. We do not guarantee the legal enforceability of electronic signatures in all jurisdictions.

8. Intellectual Property

You retain ownership of all content you create using the Service, including proposals, invoices, and uploaded files. We retain ownership of the Service itself, including its design, code, and branding.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described therein.

10. Limitation of Liability

The Service is provided "as is" without warranties of any kind. To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

11. Termination

We reserve the right to suspend or terminate your account at any time for violation of these terms. You may cancel your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately.

12. Changes to Terms

We may update these Terms from time to time. We will notify users of material changes by posting the updated terms on this page with a revised date. Continued use of the Service after changes constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the State of Oregon, United States, without regard to conflict of law principles.
